Refund & Billing Policy
1. Disclaimer of Financial and Performance Outcomes
SPRK Network ("the Company," "we," "us") furnishes access to certain proprietary dashboard infrastructure, tooling, and ancillary services (collectively, the "Services") on an as-is, as-available basis. The Company makes no representation, warranty, or guarantee, express or implied, regarding any financial outcome, earnings potential, return on investment, or performance metric that may result from a user's access to or utilization of the Services. Any projections, illustrative figures, or third-party results referenced in marketing or promotional materials are illustrative only and do not constitute a guarantee, assurance, or contractual commitment of any kind. User acknowledges that financial outcomes are contingent upon a multiplicity of variables outside the Company's control, and that no entitlement to reimbursement shall arise from the failure to realize any anticipated or hypothetical result.
2. Non-Refundability of Initial Fees
Any initial, one-time, setup, implementation, or onboarding fee remitted by the user (the "Initial Fee") shall be deemed fully earned by the Company upon receipt and is non-refundable in its entirety, irrespective of the user's subsequent utilization, non-utilization, satisfaction, or dissatisfaction with the Services. The remittance of an Initial Fee constitutes the user's affirmative and irrevocable acknowledgment of, and assent to, the terms set forth herein, and no claim for reimbursement, partial or otherwise, shall be entertained under any circumstance whatsoever.
3. Recurring Fees and Renewal Obligations
Certain components of the Services may be offered on a recurring, subscription, or auto-renewing basis (each, a "Recurring Fee"). Recurring Fees shall renew automatically at the conclusion of each applicable billing cycle unless the user affirmatively cancels prior to the renewal date in accordance with Section 4 herein. The obligation to effectuate timely cancellation rests solely and exclusively with the user.
Upon the processing of any renewal charge, such charge shall be deemed final, fully earned, and non-refundable under any and all circumstances, including without limitation: partial usage of the billing period, non-usage, dissatisfaction, technical impediments attributable to the user, or failure to cancel due to oversight. No prorated, partial, or retroactive refund shall be issued for any billing cycle that has already commenced or renewed, notwithstanding any claim to the contrary.
4. Cancellation Procedure
To avoid the automatic renewal of a Recurring Fee, the user must submit a cancellation request via email to support@sprknetwork.app prior to the next scheduled renewal date. Cancellation shall take effect at the conclusion of the then-current billing cycle, and the user shall retain access to the Services through such date. Failure to cancel prior to renewal constitutes implied consent to the subsequent charge.
5. Disputes and Chargebacks
The initiation of a chargeback, payment reversal, or third-party payment dispute in lieu of, or in derogation of, the procedures set forth herein shall constitute a material breach of this Policy. In the event of such breach, the user shall be liable for, and the Company shall be entitled to recover, any and all dispute-related fees, chargeback fees, processor penalties, or administrative costs levied against the Company as a consequence of said chargeback or dispute, and such amounts shall be passed through to and borne solely by the user. Further, the Company may, at its sole and absolute discretion, suspend or terminate the user's access to the Services pending resolution of any such dispute. Users are strongly encouraged to direct billing inquiries to the Company prior to pursuing any such remedy.
6. Entire Agreement
This Policy, in conjunction with any applicable Terms of Service, constitutes the entire understanding between the user and the Company with respect to the subject matter herein, and supersedes any prior or contemporaneous representation, whether oral or written, not expressly contained herein.
